These Terms of Service ("Terms") govern your access to and use of the VraiBlock website at vraiblock.com (the "Site") and any services, consulting, development, or advisory engagements provided by VraiBlock ("we," "our," or "us"). By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
VraiBlock provides technology consulting, software development, prototyping, MVP development, fractional CTO services, and related advisory services. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work ("SOW") or service agreement executed between VraiBlock and the client.
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
All content on the Site, including text, graphics, logos, icons, images, and software, is the property of VraiBlock or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.
Unless otherwise specified in a separate SOW or service agreement, upon full payment, the client shall own all intellectual property rights in the custom work product delivered by VraiBlock. VraiBlock retains the right to use general knowledge, skills, experience, and pre-existing tools, frameworks, or libraries that are not specific to the client's project.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of an engagement. This obligation survives the termination of any agreement between the parties. Confidential information does not include information that is publicly available, already known to the receiving party, or independently developed without reference to the disclosing party's confidential information.
Payment terms, including fees, milestones, and schedules, will be specified in the applicable SOW or service agreement. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. VraiBlock reserves the right to suspend work on any project with outstanding overdue payments.
The Site and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. VraiBlock disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
For client engagements, VraiBlock warrants that services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Any defects in deliverables reported within 30 days of delivery will be corrected at no additional charge.
To the fullest extent permitted by applicable law, VraiBlock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Site or our services. In no event shall VraiBlock's total liability exceed the amounts paid by you to VraiBlock in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless VraiBlock, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Site or violation of these Terms.
Either party may terminate a service engagement as specified in the applicable SOW or service agreement. VraiBlock reserves the right to terminate or suspend your access to the Site at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VraiBlock is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with any applicable SOW or service agreement, constitute the entire agreement between you and VraiBlock regarding the use of the Site and our services. These Terms supersede any prior agreements, communications, or proposals, whether oral or written, between you and VraiBlock.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Site with an updated "Last updated" date. Your continued use of the Site after any modifications constitutes your acceptance of the revised Terms.
